General Rules of Merchant Management
Chapter 1 Overview
1.1 The General Rules for Merchant Management of SnailMall (the "Rules") apply to third-party merchants who enter SnailMall, and do not apply to operators of self-operated products and businesses of SnailMall. These rules are the general regulations for the basic rights and obligations of merchants engaged in business activities in Snail Mall. Merchants should also abide by the agreements signed with Snail Mall and the management rules issued by Snail Mall for merchants (hereinafter collectively referred to as "merchant management") Regulation").

1.2 "Third-party merchants" (hereinafter referred to as "merchants") in these rules refer to those who sell goods to buyers (including but not limited to individual consumers, corporate users, etc.) Third-party entities that provide services.

1.3 Snail Mall has the right to change these rules at any time and make an announcement or send a notice on the Snail Mall, the merchant management background or through email and other channels. Changes to these rules will take effect after the publicity period ends. If the merchant does not agree to the relevant changes, it shall immediately notify Snail Mall in writing and stop using the relevant services involved in the changes of these rules; changes. Snail Mall has the right to determine whether the behavior of the merchant complies with the rules/agreement that should apply to the behavior, and deal with it accordingly. If the merchant has any objection to the identification and processing results of Snail Mall, it should notify Snail Mall in time, and the two parties will negotiate to resolve it separately.

1.4 Merchants shall abide by applicable laws, administrative regulations, departmental rules and regulatory documents. Snail Mall has the right to deal with merchants’ violations of laws and regulations in accordance with the above-mentioned relevant laws and regulations, as well as agreements reached with merchants, these rules, and merchant management regulations, so as to safeguard the legitimate interests of Snail Mall and the legal rights of consumers. rights and interests. Snail Mall's handling of merchants does not exempt merchants from legal responsibilities for breach of contract.

Chapter 2 Settling in
2.1 Registration: Merchants should strictly abide by the registration process of Snail Mall to complete the registration of the Snail Account, and agree to and strictly abide by the provisions of the "Snail Account and Cloud Space User Agreement" and "Statement on the Privacy of Snail Account and Cloud Space". Merchants must abide by national laws and regulations when choosing account usernames, and must not contain information that is illegal or suspected of violating the rights of others. The merchant shall be responsible for the confidentiality of the account and login name, nickname and password, and shall be responsible for all activities that occur under the login name, nickname and password (including but not limited to information disclosure, information release, online clicks to agree or submit various rules agreement, online renewal of agreement or purchase of services, etc.). Merchants shall not transfer or gift their account numbers and passwords in any way, and such account numbers and passwords cannot be inherited.

2.2 Merchant qualification requirements and review: merchants should be legal persons, unincorporated organizations or natural persons established in accordance with the law, legally registered, obtaining business licenses, obtaining other certificates and legally required permits, and validly existing; its registered business scope. Merchants should provide all the materials required by Snail Mall when applying to enter Snail Mall, and submit it to Snail Mall for qualification review. If there is any change or update of the information submitted by the merchant, the merchant must immediately notify Snail Mall and submit the updated information within 3 working days. If the merchant provides false documents, Snail Mall has the right to terminate the contract at any time, and the merchant shall bear the legal responsibility arising therefrom and compensate Snail Mall for all losses.

2.3 Signing the agreement: After passing the qualification review, the merchant shall sign the "Snail Mall Service Cooperation Agreement" and promise to abide by all the rules and requirements issued by the Snail Mall, including but not limited to those provided by the Snail Mall to the merchant in writing or publicized on the Snail Mall, Any normative documents related to business operations, including but not limited to contract attachments, announcements, email notifications, etc.

2.4 Merchants need to pay various fees according to the tariff standards of the opened categories. For details, please refer to the "SnailMall Service Fee Rate List for Various Categories".

2.5 In order to comply with the requirements of laws and regulations or in other situations deemed necessary by SnailMall, SnailMall has the right to review the merchant’s transaction behavior and other matters related to the transaction, and the merchant shall cooperate with SnailMall’s review.

Chapter III Operation and Management
3.1 Product Quality Assurance

3.1.1 Merchants should ensure that the products they sell can be used normally within the statutory period or the period stated in the product manual, there is no unreasonable risk of endangering personal and property safety, and they have the performance specified in the product manual and conform to the product or its packaging. Indicate the adopted standards on the website, and promise that the standards are not lower than the national and industry standards. Merchants should also ensure that the information they publish on Snail Mall is true and accurate, and there is no misleading buyers, slandering peers, or other violations of laws and regulations.

3.1.2 SnailMall has the right to conduct regular or irregular spot checks, inspections and appraisals of the goods or services sold by merchants on SnailMall. If any problems are found, Snail Mall has the right to require rectification within a time limit. Merchants must cooperate and fully bear all costs arising therefrom.

3.1.3 If the goods sold by the merchant or the information released infringes the rights of a third party, including but not limited to the infringement of the intellectual property rights of a third party, the merchant will be liable for such losses and damages to the relevant parties in accordance with the law, and compensate SnailMall for the resulting loss. losses suffered.

3.2 Logistics and distribution

3.2.1 Merchants shall abide by the relevant requirements of the merchant management regulations issued by Snail Mall, complete the delivery and upload logistics information within the stipulated/committed time limit.

3.3 After sales service

3.3.1 The merchant guarantees to undertake the after-sales service of the products in accordance with the relevant national laws and regulations, the contract signed with SnailMall and the merchant management regulations issued by SnailMall.

3.3.2 Door-to-door service: The merchant provides an appointment management plan for door-to-door installation products, and the service method and requirements will be negotiated separately between Snail Mall and the merchant.

3.3.3 Delivery and repair service: The merchant bears the two-way logistics costs incurred during the delivery and repair of products with quality problems during the warranty period. The service method and requirements for sending repairs will be negotiated separately between Snail Mall and the merchant. Merchants should publicize service store information on the product sales page of Snail Mall.

3.3.4 Consumer complaints, crisis management and hotline service: Merchants need to designate a contact person to handle emergencies and crises, and have a standardized system for handling consumer complaints and crises. Merchants set up service hotlines to resolve user complaints and all inquiries about their products. The specific service methods and requirements of the hotline service will be negotiated separately between Snail Mall and the merchant.

3.3.5 Other services: (1) Merchants should provide complete product service strategy and other information according to the requirements of Snail Mall; (2) Merchants should provide product training materials and FAQs; (3) Merchants should respond to Snail Mall hotline and other service personnel Conduct basic commodity knowledge training.

3.3.6 If the above-mentioned after-sales service requirements are not met due to merchant reasons, Snail Mall has the right to deal with the merchant in accordance with its merchant management regulations. For customer complaints or losses to Snail Mall, merchants shall bear relevant legal responsibilities and compensate Snail Mall for all losses.

3.4 Marketing promotion

3.4.1 SnailMall provides merchants with value-added services (including but not limited to providing online business venues, transaction matching, information release, etc.) and publicity and promotion services. Merchants agree to pay SnailMall for the aforementioned services. According to the agreement of both parties, the merchant's products and brands will be publicized and promoted, and the service fee will be separately agreed by both parties. SnailMall has the right to manage or adjust the services of SnailMall according to the business needs and development direction of SnailMall. Merchants should cooperate with the adjustment of SnailMall’s services and change the commodities they sell, the services they operate, and related sales methods and strategies according to the adjustment requirements. .

3.4.2 The merchant guarantees: (1) All the information it provides and publishes on Snail Mall is true and accurate, and does not contain any false or fraudulent content; (2) The advertisements it publishes on Snail Mall comply with the requirements of laws and regulations. If the product materials provided by the merchant are inconsistent with the actual product, or disputes or compensation are caused by false publicity, fraud, etc., the merchant shall bear full responsibility and compensate all losses of Snail Mall. Make an announcement.

3.4.3 When a merchant releases promotional information related to Snail or Snail Mall outside of Snail Mall, the published information must be reviewed by Snail Mall in advance. Without consent, it is not allowed to publish information related to the use of Snail and Snail Mall.

3.5 Network Security and User Personal Information Protection

3.5.1 Merchants shall abide by any applicable network and data security laws, regulations and national standards aimed at protecting personal information and national information security, as well as relevant policies formulated by SnailMall accordingly.

3.5.2 When collecting and using users' personal information, merchants shall follow the principles of legality, justification, and necessity, expressly state the purpose, method and scope of collecting and using information, and obtain the consent of users. Merchants should ensure the security of users’ personal information collected and not disclose, sell or illegally provide it to others.

3.5.3 If the merchant violates the above terms and causes Snail Mall to be punished by the competent authority or the end user claims, the merchant shall be responsible for eliminating the adverse effects, and compensate Snail Mall for the fines paid by it, user compensation and all other economic losses suffered thereby; In addition, Snail Mall has the right to immediately cancel the cooperative relationship with the merchant.

3.6 Snail Mall has the right to cancel the cooperative relationship with the merchant in accordance with the agreement between the two parties and the merchant management regulations of Snail Mall, and handle the removal of the merchant's products in accordance with the agreement and rules of the two parties, and can also pursue the legal responsibility of the merchant.

3.7 The failure or termination of these rules for any reason does not exempt the merchant from the after-sales service and product quality responsibilities that the merchant should undertake to the buyer in accordance with the law, these rules and any other agreements and rules applicable to the merchant. The promised after-sales service period fulfills the after-sales service obligation and product quality responsibility. In case of personal or property losses of Snail Mall or other third parties due to the merchant’s commodity quality problems or after-sales service problems, the merchant shall bear the responsibility in accordance with laws and regulations and the agreement of both parties.

Chapter IV Supplementary Provisions
4.1 If the merchant's behavior occurs before the effective date of these management rules, the rules at that time shall apply. If it occurs after the effective date of these management rules, these rules shall apply.
